Terms of Use


This Terms of Use Agreement ("Agreement") is a binding legal contract between you ("User," "you," "your") and Synsona AI Inc. ("Synsona," "we," "us," "our"). This Agreement governs your access to and use of the Synsona AI platform, including any related software, services, and websites (collectively, the "Service").

By creating an account, or by accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by this Agreement. If you are using the Service on behalf of an organization or entity ("Organization"), then you are agreeing to this Agreement on behalf of that Organization, and you represent and warrant that you have the authority to bind the Organization to this Agreement.

 

1. Description of Service

Synsona AI provides an artificial intelligence platform designed to assist with account-based marketing (ABM) by generating research, personalized content, and other materials ("Generated Content"). This is based on the data, information, and prompts provided by you ("User Content").

 

2. User Accounts and Security

  • Account Creation: You must provide accurate, current, and complete information during the registration process and keep your account information updated.
  • User Responsibilities: You are solely responsible for all activities that occur under your account. You agree to:
    • Maintain the confidentiality and security of your account credentials (e.g., password, API keys).
    • Not share your credentials with any unauthorized third party.
    • Immediately notify Synsona AI at info@synsona.com of any suspected or actual unauthorized use of your account or any other breach of security.
  • Company Access: You acknowledge that Synsona personnel may require access to your account data to provide support, maintenance, and to address security or technical issues, in accordance with our Privacy Policy.

 

3. Acceptable Use Policy

Your use of the Service is contingent upon your adherence to this policy. You agree not to use, or allow others to use, the Service to:

  • Engage in any activity that is illegal, fraudulent, or harmful.
  • Upload, transmit, or store any User Content that infringes upon any third party's intellectual property rights or is defamatory, obscene, or violates any law or regulation.
  • Distribute viruses, malware, or any other malicious code.
  • Attempt to gain unauthorized access to the Service, other user accounts, or our computer systems or networks.
  • Reverse engineer, decompile, or otherwise attempt to discover the source code or underlying AI models of the Service.
  • Interfere with or disrupt the integrity or performance of the Service, including conducting any form of vulnerability scanning or penetration testing without our express written consent.

 

4. Data, Content, and Intellectual Property

  • User Content: You retain all ownership rights to your User Content, which includes all data, information, and prompts you submit to the Service. You grant Synsona AI a limited, worldwide, non-exclusive, royalty-free license solely to use, process, and display your User Content as necessary to provide, maintain, and secure the Service for you. We will not use your User Content to train our general AI models for the benefit of other users without your explicit prior consent.
  • Generated Content: You own the Generated Content created by the Service from your User Content. You may use the Generated Content for your internal and external business purposes. However, you acknowledge that due to the nature of machine learning, Generated Content may not be unique across all users.
  • Synsona IP: To be clear, while you own your content, we own our tools. Synsona AI Inc. retains all rights, title, and interest in and to the Service itself, including all underlying software, AI models, algorithms, and know-how. This Agreement does not grant you any rights to our trademarks or other intellectual property, only a license to use the Service.
  • Responsibility for Content: The Service utilizes AI models to generate content. The accuracy and appropriateness of Generated Content are not guaranteed. You are solely responsible for reviewing and validating all Generated Content before use and for ensuring it complies with all applicable laws and does not infringe on any third-party rights.

 

5. Confidentiality

  • Definition: "Confidential Information" means any non-public information disclosed by one party to the other that is designated as confidential or that reasonably should be understood to be confidential. Your Confidential Information includes your User Content; our Confidential Information includes the non-public aspects of our Service, its pricing, and its performance metrics.
  • Mutual Obligations: Both parties agree to protect the other's Confidential Information with the same degree of care they use for their own confidential information (but no less than reasonable care). Neither party will use the other's Confidential Information for any purpose outside the scope of this Agreement or disclose it to any third party without the other party's prior written consent, except as required by law. All information you share with us as part of using the Service will be treated as your Confidential Information.

 

6. Privacy

Your privacy is important to us. Our collection, use, and protection of your personal data are governed by our Privacy Policy, which is incorporated by reference into this Agreement.

 

7. Service Availability and Support

Synsona AI will use commercially reasonable efforts to make the Service available. We may schedule maintenance and will provide advance notice where possible. We are not responsible for downtime caused by factors beyond our reasonable control. Any specific uptime commitments will be governed by a separate Service Level Agreement (SLA), if applicable.

 

8. Term and Termination

  • Term: This Agreement begins when you first accept it and continues as long as you have an account.
  • Termination: You can terminate this Agreement at any time by closing your account. We may suspend or terminate your access if you materially breach this Agreement and fail to cure the breach within thirty (30) days of notice.
  • Effect of Termination: Upon termination, your right to use the Service will cease. We will handle your data according to our data retention policies as described in our Privacy Policy.

 

9. Disclaimers and Limitation of Liability

  • Disclaimer: THE SERVICE IS PROVIDED "AS IS". SYNSONA AI DISCLAIMS ALL WARRANTIES, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

  • Responsibility for Output: YOU ACKNOWLEDGE THAT THE SERVICE UTILIZES EXPERIMENTAL ARTIFICIAL INTELLIGENCE TECHNOLOGY. OUTPUTS MAY NOT REFLECT REAL-PEOPLE, PLACES, OR FACTS. YOU ASSUME ALL RISK ASSOCIATED WITH THE USE OF THE SERVICE, INCLUDING THE DUTY TO REVIEW THE ACCURACY AND LEGALITY OF ALL OUTPUTS PRIOR TO COMMERCIAL DEPLOYMENT OR "IN-MARKET" USE.

  • Limitation of Liability: TO THE MAXIMUM EXTENT PERMITTED BY LAW, SYNSONA AI INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, INCLUDING DAMAGES ARISING FROM YOUR RELIANCE ON THE ACCURACY OF AI-GENERATED OUTPUTS.

 

10. Modifications

We may modify this Agreement from time to time. If we make a material change, we will provide you with reasonable notice (e.g., via email or an in-app notification). Your continued use of the Service after the change constitutes your acceptance of the new terms.

 

11. General Provisions

  • Governing Law: This Agreement shall be governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to its conflict of law provisions.
  • Entire Agreement: This Agreement, along with our Privacy Policy, constitutes the entire agreement between you and Synsona AI Inc.
